Client update: Nominee Directors and Nominee Shareholders 《客户通告：关于代名董事及代名股东的更新》

With effect from 16 June 2025, the Accounting and Corporate Regulatory Authority (“ACRA”) requires companies to file their Register of Nominee Directors and Register of Nominee Shareholders with ACRA via BizFile. This is a significant change from the previous position, where these registers were required to be privately maintained only at the company’s registered office or with its registered filing agent or registered corporate service provider.
自2025年6月16日起，新加坡会计与企业管制局（“ACRA”）规定，公司必须通过BizFile向ACRA提交《代名董事登记册》和《代名股东登记册》。此项规定标志着现行制度的一项重大变更。在此之前，公司仅须在其注册办事处或由其注册备案代理人／注册企业服务提供者处，私下保存相关登记册，无需提交至ACRA。

• According to ACRA, only the nominee status of directors and shareholders will be publicly available and will appear in the business profile of the relevant companies – the nominee status will be disclosed as a superscript (“ND” for nominee directors and “NS” for nominee shareholders). Complete information on the particulars of nominators will not be made publicly available and will only be accessible to law enforcement agencies.
  根据ACRA的规定，只有董事及股东的“代名身份”将对公众开放，并显示在相关公司的商业简介中。代名身份将以上标形式注明（例如：代名董事为“ND”，代名股东为“NS”）。至于代名人（提名人）的完整资料将不会公开，仅限执法机构查阅。
• Companies incorporated on or after 16 June 2025 with directors and/or shareholders who are nominees are required to file information on such nominees and nominators with ACRA at the time of incorporation.
  自2025年6月16日起设立的公司，如其董事及／或股东为代名人，须在注册成立时，向ACRA提交有关代名人及提名人的资料。
• Existing companies have until 31 December 2025 to lodge the relevant filings with ACRA.
  现有公司须于2025年12月31日之前向ACRA提交相关申报。
• For a company which does not have any nominee directors and nominee shareholders, ACRA also now requires that a filing be lodged confirming that there are no nominee directors and nominee shareholders.
  对于没有代名董事或代名股东的公司，ACRA现亦规定，公司须提交申报文件，以确认其并无代名董事及代名股东。
