Client update: Corporate Service Providers Act 2024 《新加坡企业服务提供商法案 2024》

The Corporate Service Providers Act 2024 (the “CSP Act”) was passed in Parliament on 2 July 2024 to enhance the regulatory regime for corporate service providers (“CSPs”). It is expected to become effective sometime in 2Q 2025. Key points to note:
《新加坡企业服务提供商法案2024（“CSP 法案”）》于 2024 年 7 月 2 日在新加坡国会通过，旨在加强企业服务提供商（“CSP”）的监管制度。该法案预计将于 2025 年初第二季度生效。重点概述如下：

• All entities carrying on a business of providing corporate services in and from Singapore must register with ACRA as registered CSPs. It is a criminal offence for an unregistered CSP to provide any corporate service in Singapore, such as incorporating companies and filing transactions with ACRA.
  所有在新加坡境内或境外提供公司服务业务的实体必须向 ACRA 登记成为注册的 CSP。未经ACRA登记注册的 CSP 在新加坡提供任何公司服务（例如成立公司和向 ACRA 提交交易）均属违法犯罪行为。
• All registered CSPs must adhere to the anti-money laundering and counter-terrorism financing laws in Singapore, such as conducting customer due diligence. Criminal liability will be imposed for failure to do so.
  所有ACRA登记注册的 CSP必须遵守新加坡的反洗钱和反恐怖主义融资法律，例如进行客户尽职调查。否则将被追究刑事责任。
• No person is allowed to act as a nominee director by way of business unless the appointment is arranged by a registered CSP and assessed by the registered CSP to be a fit and proper person.

What Clients Should Note 客户须知:

• Choosing a CSP: Ensure that you consult/engage a registered CSP for any corporate services you require. While clients may not directly face penalties for engaging an unlicensed CSP, clients risk dealing with non-compliant or fraudulent entities, which could lead to legal and financial issues, and the client’s business may face regulatory scrutiny as a result.
  选择有资质的 CSP：确保您咨询/聘请ACRA登记注册的 CSP 来获取您需要的任何公司服务。虽然客户可能不会因聘请未经ACRA登记的 CSP 而直接面临来自新加坡政府的处罚，但客户可能会面临因与不合规或带有欺诈性质的实体交易而带来的风险，这可能会导致法律和财务问题，并且客户的业务可能会因此面临监管审查。
