Striking off on a Company’s Own Application 新加坡公司的注销

Introduction
简介

In Singapore, one of the options available to close down a company which is not active or no longer in operation is to apply to the Accounting and Corporate Regulatory Authority (“ACRA”) for striking off. While applying for striking off provides a relatively quick and cost-effective method of permanently closing down a company, it is only available to companies that meet certain criteria.
在新加坡，若企业已不再营运或处于非活跃状态，可选择向新加坡会计与企业管制局（“ACRA”）申请将公司从注册记录中除名（即“注销”）。尽管申请注销程序相对快速且节约成本，可作为在新加坡永久关闭公司的方式，但仅适用于符合特定条件的公司。

Criteria for granting a company’s application for Striking Off
批准公司除名申请注销的条件

ACRA may approve a company’s application for striking off if it meets the following criteria:
若公司符合以下条件，ACRA可批准其注销申请：

• The company has not commenced business since incorporation or has ceased trading.
  公司自成立以来未开始经营业务，或已停止营业。
• The company has no outstanding debts owed to the Inland Revenue Authority of Singapore (“IRAS”), Central Provident Fund Board (“CPF”) and any other government agency.
  公司无欠缴新加坡税务局（“IRAS”）、中央公积金局（“CPF”）及其他任何政府机构的未偿债务。
• There are no outstanding charges in the charge register.
  公司质押登记册中无未清偿的质押登记。
• The company is not involved in any legal proceedings (within or outside Singapore).
  公司未涉及任何法律诉讼（无论在新加坡境内或境外）。
• The company is not subject to any ongoing or pending regulatory action or disciplinary proceeding.
  公司未正处于任何进行中或待决的监管措施或纪律处分程序之下。
• The company has no existing assets and liabilities as at the date of application and no contingent asset and liabilities that may arise in the future.
  公司于申请之日无现有资产及负债，且无可能在未来产生的或有资产及或有负债。

Process
程序

1. Online application: An online application for striking off may be made by a director of the company or its company secretary or ACRA registered corporate service provider (“CSP”) via Bizfile using SingPass or CorpPass.
   线上申请: 公司董事、公司秘书或持牌企业服务提供者可通过BizFile网站，并使用SingPass或CorpPass，提交线上申请以将公司注销。
2. Endorsement: After the application is submitted, the application will need to be endorsed by all/majority of the other position holders (e.g., directors) on Bizfile before ACRA will process the application (Note: The position holder who submitted the application is not required to endorse. If a CSP files the striking off application, endorsement is not required from the position holders). All required endorsements must be completed within 14 days, failing which the application will lapse.
   职权人的确认：申请提交后，须由所有／多数其他公司职权人（例如董事）通过BizFile进行确认，ACRA方会受理该申请 （注：提交申请的公司职权人无须通过BizFile进行确认。若由持牌企业服务提供者提交注销申请，则公司职权人亦无须通过BizFile进行确认）。所有所需的确认必须在14天内完成，否则该申请将失效。
3. Review by ACRA: If the application is in order, ACRA may send a “striking off” notice to the company’s registered office, its officers (such as director, company secretary and shareholder), IRAS and CPF. If there is no objection, ACRA will publish the name of the company in the Government Gazette. This is known as the First Gazette Notification.
   ACRA审核：若申请资料齐全，ACRA可向公司注册办事处、公司高管（如董事、公司秘书及股东）、IRAS及CPF发送“除名通知”。如无任何异议，ACRA将于《政府公报》上刊登该公司的名称，此程序称为首次宪报通知（First Gazette Notification）。
4. 60-day objection period: This is a grace period during which any interested party (e.g., creditors) may submit an objection to ACRA. If the objection is approved by ACRA, ACRA will inform the company of the objection. The company is given 2 months to resolve the matter. If the company is unable to resolve the matter within 2 months, the striking off application will lapse. The company can only submit a new application after the objection (if any) has been cleared.
   60天异议期：这是一个宽限期，在此期间，任何相关方（例如债权人）可向ACRA提出异议。若ACRA接纳该异议，ACRA将通知公司有关异议事项。公司将有两个月的时间处理相关事宜。若公司在两个月内未能解决该事项，则注销申请将失效。公司须在相关异议（如有）解决后，方可重新提交新的注销申请。
5. Final Notification: After 60 days from the First Gazette Notification, if there is no objection, ACRA will publish the name of the company in the Government Gazette again and the name of the company will be struck off the register. The date that the company is struck off will be stated. This is known as the Final Gazette Notification.
   最终通知：自首次宪报通知发布之日起满60天后，若无任何异议，ACRA将再次于《政府公报》上刊登该公司的名称，并将该公司名称从注册册中除名 (i.e., 注销)。注销日期将会在通知中注明。此程序称为最终注销通知（Final Gazette Notification）。

The entire process will take at least 4 months.
整个程序将至少耗时四个月。
